ARTICLE 1 - Scope of application

 Les présentes Conditions Générales de Vente (dites « CGV ») s'appliquent, sans restriction ni réserve à l'ensemble des ventes conclues par le Vendeur auprès d'acheteurs (« Les Clients » ou « le Client »), désirant acquérir les produits proposés à la vente (« Les Produits ») par le Vendeur sur le site www.bgcaero.com ou bien lors d'un salon ou manifestation publique ou non à laquelle participe BGC Aero. Les Produits proposés à la vente sur le site sont les suivants :

  • Softshell jackets,
  • polar,
  • polos,
  • sweatshirts
  • bodywarmers,
  • shirts,
  • parkas,
  • windproof,
  • t-shirts,
  • caps
  • écussons

The main characteristics of the Products and in particular the specifications, illustrations and indications of the dimensions or capacity of the Products, are presented on the website www.bgcaero.com, which the customer must read before ordering.

The choice and purchase of a Product is the sole responsibility of the Customer.

Product offers are within the limits of available stocks, as specified at the time of placing the order.

Le Client déclare avoir pris connaissance des présentes CGV et les avoir acceptées en cochant la case prévue à cet effet avant la mise en œuvre de la procédure de commande en ligne du site www.bgcaero.com.

Unless proven otherwise, the data recorded in the Seller's computer system constitutes proof of all transactions concluded with the Customer.

The Products presented on the website www.bgcaero.com are offered for sale for the following territories:

European Union
United States
Switzerland
Norway.

In the event of an order to a country other than metropolitan France, the Customer is the importer of the Product or Products concerned.

For all Products shipped outside the European Union and DOM-TOM, the price will be automatically calculated excluding tax on the invoice.

Customs duties or other local taxes or import duties or state taxes may be payable. They will be the responsibility of the Customer and are the sole responsibility of the Customer.

ARTICLE 2 - Prices

Prices are expressed in Euros, excluding VAT and including VAT.

Les tarifs tiennent compte d'éventuelles réductions qui seraient consenties par le Vendeur sur le site www.bgcaero.com.

These prices are firm and cannot be revised during their period of validity, but the Seller reserves the right, outside the period of validity, to modify the prices at any time.

Prices do not include processing, shipping, transport and delivery costs, which are invoiced in addition, under the conditions indicated on the website and calculated before placing the order.

The payment requested from the Customer corresponds to the total amount of the purchase, including these costs.

An invoice is issued by the Seller and delivered to the Customer upon delivery of the Products ordered.

ARTICLE 3 - Orders

Il appartient au Client de sélectionner sur le site www.bgcaero.com les Produits qu'il désire commander, selon les modalités suivantes :

The Customer chooses the support he wants to have embroidered (type of support, size and color).

 He selects the predefined areas on which he wants embroidery and specifies if these areas will contain:

 - the text (which it is invited to enter by selecting a font and color from those proposed by BGC Aero);
- a reason provided by the Client (which he is invited to download);
- a pattern existing in BGC Aero's catalogue (which it is invited to select).

 Si le motif est fourni par le Client, BGC Aero vérifie au préalable que sa définition est compatible avec l'activité de modélisation qui sera réalisée par la suite.

Les écussons ne sont vendus que pour une quantité minimale de 6 exemplaires identiques.

BGC Aero reserves the right to refuse to use pornographic images or images of a nature prohibited by law.

Seuls les vêtements de taille adulte pourront être brodés avec un motif fourni par le Client et qui ne soit pas déjà disponible dans le catalogue en ligne de BGC Aero. Les casquettes et vêtements de taille enfant ne pourront donc pas être brodés avec un motif fourni par le Client. Si le Client finalise malgré tout sa commande en demandant une casquette brodée ou un vêtement de taille enfant avec un motif fourni par ses soins, sa commande sera refusée par BGC Aero. La somme versée par le Client lui sera reversée dans les 10 jours qui suivent la notification du refus, déduction faite d'une pénalité minimale de 10€ qui sera appliquée.

Le Client s’engage à disposer des droits de reproduction des images qu’il fournit. BGC Aero ne saurait en aucun cas être tenu pour responsable de la broderie d’un motif fourni par un Client et dont la reproduction est soumise à autorisation.

En cas de transmission d'une image inexploitable au vu de la technique demandée, BGC Aero s'engage à en informer le Client le plus rapidement possible afin que celui-ci puisse soit en transmettre une autre, soit modifier sa commande.

BGC Aero then submits to the customer for validation a model of the support with all the requested embroideries. This model shows the approximate organization of the embroideries but cannot be a contractual illustration, particularly with regard to the proportion of embroideries in relation to the support as well as the shade of both the support and the embroideries.

If the customer provides a reason and wishes to change it while BGC Aero has already carried out the modelling, the Customer must pay the fixed sum of 50€ as compensation for each reason concerned.

Si le client fournit un motif et en interdit la réutilisation ultérieure par BGC Aero, le Client devra verser la somme forfaitaire de 250€ en compensation pour chaque motif concerné ou bien avoir une commande dont le montant total est supérieur ou égal à 500€ HT.

Si le Client choisit un motif représentant une caricature disponible sur le catalogue en ligne de BGC Aero, il devra s'acquitter d'une somme forfaitaire de 10€ HT par article brodé commandé reproduisant ce motif. Il doit donc ajouter au panier autant de motifs de caricature qu'il y aura d'articles à broder avec ce dessin. Cette somme sera intégralement reversée au dessinateur des caricatures par BGC Aero.

Si le Client demande à BGC Aero de réaliser une broderie sur un support fourni par le Client, ce dernier s'engage à ne pas réclamer de dédommagement à BGC Aero si, en dépit des précautions normales prises par BGC Aero pendant tout le process, le support subissait une quelconque détérioration ou venait à être inutilisable.

Product offers are valid as long as they are visible on the site, within the limits of available stocks.

The sale will only be considered valid after full payment of the price. It is the Customer's responsibility to check the accuracy of the order and to immediately report any errors.

Toute commande passée sur le site www.bgcaero.com constitue la formation d'un contrat conclu à distance entre le Client et le Vendeur.

The Seller reserves the right to cancel or refuse any order from a Customer with whom there is a dispute relating to the payment of a previous order.

ARTICLE 3 Bis - Customer area - Account

In order to place an order, the Customer is invited to create an account (personal space).

To do so, he must register by completing the form that will be proposed to him at the time of his order and undertakes to provide sincere and accurate information concerning his civil status and contact details, including his email address.

The Client is responsible for updating the information provided. It is specified that he can modify them by logging into his account.

To access his personal space and order histories, the Customer must identify himself using his user name and password, which will be communicated to him after registration and which are strictly personal. As such, the Client refrains from any disclosure. Otherwise, he will remain solely responsible for the use that will be made of it.

Le Client pourra également solliciter sa désinscription en se rendant à la page dédiée sur son espace personnel ou envoyant un email à : [email protected]. Celle-ci sera effective dans un délai raisonnable.

In the event of non-compliance with the general conditions of sale and/or use, the website www.bgcaero.com will have the possibility of suspending or even closing a customer's account after formal notice sent electronically and without effect.

Any deletion of an account, for whatever reason, results in the pure and simple deletion of all personal information of the Customer.

Any event due to a case of force majeure resulting in a malfunction of the site or server and subject to any interruption or modification in the event of maintenance, does not engage the responsibility of the Seller.

The creation of the account implies the acceptance of these general terms and conditions of sale.

ARTICLE 4 - Terms of payment

The price is paid by secure payment, according to the following terms:

  • payment by credit card
  • or payment by cheque
  • or payment by bank transfer to the Seller's bank account (the details of which are communicated to the Customer when the order is placed)

The price is payable in cash by the Customer, in full on the day the order is placed.

Payment data are exchanged in encrypted mode using the protocol defined by the authorised payment service provider involved in banking transactions carried out on the website www.bgcaero.com.

In case of payment by bank check, it must be issued by a bank domiciled in metropolitan France or Monaco.

The cheque is cashed upon receipt.

Payments made by the Customer shall only be considered final after the Seller has actually collected the sums due.

The Seller shall not be required to deliver the Products ordered by the Customer if the latter does not pay the full price in accordance with the conditions indicated above.

ARTICLE 5 - Deliveries

The Products ordered by the Customer will be delivered in metropolitan France or in the following zone(s):

European Union, Switzerland, Norway, United States.

Deliveries are made within 3 weeks to the address indicated by the Customer when ordering on the site.

Delivery consists of the transfer to the Customer of physical possession or control of the Product. Except in special cases or unavailability of one or more Products, the Products ordered will be delivered in a single delivery.

The Seller undertakes to make its best efforts to deliver the products ordered by the Customer within the deadlines specified above. However, these deadlines are given for information only.

If the Products ordered have not been delivered within 2 weeks after the indicative delivery date, for any reason other than force majeure or the Customer's fault, the sale may be cancelled at the written request of the Customer under the conditions provided for in Articles L 216-2, L 216-3 and L241-4 of the Consumer Code. The sums paid by the Client will then be returned to him at the latest within fourteen days following the date of termination of the contract, excluding any compensation or withholding.

In the event of a particular request from the Customer concerning the conditions of packaging or transport of the ordered products, duly accepted in writing by the Seller, the related costs will be the subject of a specific additional invoice, based on an estimate previously accepted in writing by the Customer.

Le Client est tenu de vérifier l'état des produits livrés. Il dispose d'un délai de 2 semaines à compter de la livraison pour formuler des réclamations par toute forme de moyen conférant date certaine (mail, courrier), accompagnées de tous les justificatifs y afférents (photos notamment). Passé ce délai et à défaut d'avoir respecté ces formalités, les Produits seront réputés conformes et exempts de tout vice apparent et aucune réclamation ne pourra être valablement acceptée par le Vendeur.

The Seller shall refund or replace as soon as possible and at its own expense, the delivered Products whose defects in conformity or apparent or hidden defects have been duly proven by the Customer, under the conditions provided for in Articles L 217-4 et seq. of the Consumer Code and those provided for in these GTC.

The transfer of the risks of loss and deterioration relating thereto shall only take place at the time when the Customer physically takes possession of the Products. The Products therefore travel at the Seller's risk except when the Customer has himself chosen the carrier. As such, the risks are transferred at the time of delivery of the goods to the carrier.

ARTICLE 6 - Transfer of ownership

The transfer of ownership of the Seller's Products to the Customer shall only be effected after full payment of the price by the latter, regardless of the delivery date of the Products.

ARTICLE 7 - Right of withdrawal

In accordance with the provisions of Article L. 221-28 of the Consumer Code and taking into account the nature of the Products sold, orders placed by the Customer do not benefit from the right of withdrawal.

The contract is therefore definitively concluded as soon as the order is placed by the Customer in accordance with the terms and conditions specified in these GTC.

 

ARTICLE 8 - Seller's Liability - Warranties

The Products supplied by the Seller benefit:

  • the legal guarantee of conformity, for defective, damaged or damaged Products or products that do not correspond to the order,
  • the legal guarantee against hidden defects resulting from a defect in material, design or manufacture affecting the products delivered and rendering them unfit for use,

Provisions relating to legal guarantees

Article L217-4 of the Consumer Code

"The seller delivers goods in conformity with the contract and is liable for any lack of conformity existing at the time of delivery.
He shall also be liable for defects in conformity resulting from packaging, assembly instructions or installation where the latter has been charged to him by the contract or has been carried out under his responsibility. »

Article L217-5 of the Consumer Code

"The property is in accordance with the contract:
1° If it is suitable for the use usually expected of a similar property and, if applicable:
- if it corresponds to the description given by the seller and has the qualities that the seller has presented to the buyer in the form of a sample or model;
- if it has the qualities that a buyer can legitimately expect in view of the public statements made by the seller, the producer or his representative, in particular in advertising or labelling;
2° Or if it has the characteristics defined by mutual agreement between the parties or is suitable for any special use sought by the buyer, brought to the attention of the seller and which the latter has accepted. »

Article L217-12 of the Consumer Code

"The action resulting from the lack of conformity shall be barred after two years from the date of delivery of the goods. »

Article 1641 of the Civil Code.

"The seller is bound by the warranty for hidden defects in the thing sold that make it unfit for the use for which it is intended, or that reduce this use so much that the buyer would not have acquired it, or would have given only a lower price, if he had known them. »

Article 1648 paragraph 1 of the Civil Code

"The action resulting from the fundamental defects must be brought by the purchaser within two years of the discovery of the defect. »

Article L217-16 of the Consumer Code.

"Where the buyer requests from the seller, during the course of the commercial warranty granted to him when acquiring or repairing movable property, a refurbishment covered by the warranty, any period of immobilization of at least seven days shall be added to the remaining term of the warranty.
This period shall run from the date of the buyer's request for intervention or the date on which the goods in question are made available for repair, if such availability is subsequent to the request for intervention. »

In order to assert its rights, the Customer must inform the Seller, in writing (email or letter), of the non-conformity of the Products or the existence of hidden defects as soon as they are discovered.

The Seller shall refund, replace or have repaired Products or parts under warranty deemed non-compliant or defective.

Shipping costs will be refunded on the basis of the invoiced rate and return costs will be refunded upon presentation of supporting documents.

Refunds, replacements or repairs of Products found to be non-compliant or defective shall be made as soon as possible and at the latest within 2 weeks of the Seller's discovery of the lack of conformity or hidden defect. This refund can be made by bank transfer or check.

The Seller's liability shall not be engaged in the following cases:

  • non-compliance with the legislation of the country in which the products are delivered, which it is the Customer's responsibility to check,
  • in the event of misuse, professional use, negligence or lack of maintenance on the part of the Customer, as well as in the event of normal wear and tear of the Product, accidents or force majeure.
  • in the event of a problem with the size of the media ordered, the customer has all the necessary information to select the size that is most suitable for him.
  • in case of colour shades (both in the support and in the embroidery) that could be different from those used during the modelling.
  • The photographs and graphics presented on the site are not contractual and do not engage the responsibility of the Seller.

La garantie du Vendeur est, en tout état de cause, limitée au remplacement ou au remboursement des Produits non conformes ou affectés d'un vice, à l'exception des supports fournis par le Client à BGC Aero pour être brodés et qui subiraient des dégradations au cours du process (cf. Article 2).

ARTICLE 9 - Personal data

The Customer is informed that the collection of his personal data is necessary for the sale of the Products by the Seller and for their transmission to third parties for the purpose of delivering the Products. These personal data are collected only for the execution of the sales contract.

9.1 Collection of personal data

The personal data collected on the www.bgcaero.com website are as follows:

Opening an account

When creating the Client / User account: 

Names, first names, postal address, telephone number and e-mail address.

Payment of payment

As part of the payment of the Products offered on the www.bgcaero.com website, it records financial data relating to the Customer's / user's bank account or credit card.

9.2 Recipients of personal data

Personal data are used by the Seller and its co-contractors for the execution of the contract and to ensure the efficiency of the sale and delivery of the Products.

The category (ies) of co-contractor(s) is (are):

  • Transport service providers
  • Payment institution providers

9.3 Data controller

The data controller is the Seller, within the meaning of the Data Protection Act and as from 25 May 2018 of Regulation 2016/679 on the protection of personal data.

9.4 Limitation of processing

Unless the Customer expressly agrees, his or her personal data will not be used for advertising or marketing purposes.

9.5 Data retention period

The Seller shall keep the data thus collected for a period of 5 years, covering the period of limitation of the applicable contractual civil liability.

9.6 Security and confidentiality

The Seller implements organisational, technical, software and physical digital security measures to protect personal data against unauthorised alteration, destruction and access. However, it should be noted that the Internet is not a completely secure environment and the Seller cannot guarantee the security of the transmission or storage of information on the Internet.

9.7 Enforcement of Clients' and Users' rights

In accordance with the regulations applicable to personal data, Customers and users of the www.bgcaero.com website have the following rights:

  • They can update or delete their data by logging into their online account.
  • They may delete their account by writing to the e-mail address indicated in Article 9.3 "Data Controller".
  • They may exercise their right of access to know the personal data concerning them by writing to the address indicated in Article 9(3) "Data controller".
  • If the personal data held by the Seller are inaccurate, they may request that the information in the information be updated by writing to the address indicated in Article 9.3 "Data Controller".
  • They may request the deletion of their personal data, in accordance with applicable data protection laws, by writing to the address indicated in Article 9(3) "Data controller".
  • They may also request the portability of data held by the Seller to another service provider
  • Finally, they may object to the processing of their data by the Seller

These rights, as long as they do not conflict with the purpose of the processing, may be exercised by sending a request by post or e-mail to the Data Controller whose details are given above.

The controller must provide a response within a maximum period of one month.

In the event of a refusal to grant the Customer's request, the Customer must give reasons.

The Client is informed that in the event of refusal, he may file a complaint with the CNIL (3 place de Fontenoy, 75007 PARIS) or refer the matter to a judicial authority.

The Customer may be asked to tick a box in which he agrees to receive informative and promotional emails from the Seller. He will always have the possibility to withdraw his agreement at any time by contacting the Seller (contact details above) or by following the unsubscribe link.

ARTICLE 10 - Intellectual Property

The content of the www.bgcaero.com website is the property of the Seller and its partners and is protected by French and international laws relating to intellectual property.

Any total or partial reproduction of this content is strictly prohibited and may constitute an infringement of copyright.

ARTICLE 11 - Applicable law - Language

These GTC and the operations resulting from them are governed by and subject to French law.

These GTC are written in French. In the event that they are translated into one or more foreign languages, the French text alone shall prevail in the event of a dispute.

 

ARTICLE 12 - Disputes

For any complaint please contact the customer service at the Seller's postal address or email address indicated in Article 1 of these GTC.

The Client is informed that he may in any event resort to conventional mediation, to existing sectoral mediation bodies or to any alternative dispute resolution method (conciliation, for example) in the event of a dispute.

All disputes to which the purchase and sale transactions concluded pursuant to these GTCs and which have not been settled amicably between the seller or by mediation, shall be submitted to the competent courts under the conditions of ordinary law.
